DanZay FZE develops and operates software products, including ZayBot, and provides technology and software-related professional services to customers in the UAE and other markets.

Services

Our Services may include:

• ZayBot: Restaurant management and point-of-sale software, including order and operational management, reporting, customer communication, automation, and integrations with third-party services such as the WhatsApp Business Platform.
• Software & AI Services: Custom software, web and mobile applications, APIs, AI solutions, automation, integrations, product development, and related consulting.
• Technology Services: Cloud, DevOps, data, design, implementation, maintenance, support, and other agreed professional services.

Specific features, availability, limits, pricing, and service levels may vary by product, subscription plan, quotation, order form, or separate written agreement.

Accounts & User Responsibilities

Where an account is required, you must provide accurate information and keep your credentials secure. You are responsible for activity performed through your account except to the extent caused by our breach of applicable obligations.

You must use the Services lawfully and must have all rights, permissions, notices, and consents required for information, contacts, content, messages, media, or other data you submit to or process through the Services.

Meta & WhatsApp Business Integrations

ZayBot may integrate with Meta technologies, including the WhatsApp Business Platform. When you choose to connect a WhatsApp Business account, Meta authentication, including Facebook Login where applicable, may be used to authenticate you and authorize access to the Meta and WhatsApp Business assets required for the integration.

Facebook Login is used for the Meta/WhatsApp Business connection and authorization flow and is not the primary authentication method for signing in to ZayBot.

By connecting Meta or WhatsApp Business assets, you authorize ZayBot to access and process the information and permissions you approve through Meta solely as necessary to provide the requested integration and related functionality. Depending on the features you use, this may include authorized business identifiers, WhatsApp Business account and phone-number information, messages, message metadata, media, and related integration data.

Your use of Meta and WhatsApp services through ZayBot must comply with applicable Meta and WhatsApp terms, policies, messaging requirements, and applicable law. You are responsible for obtaining any consent required to communicate with your customers or other recipients.

You may disconnect an integration, but doing so may disable related ZayBot functionality. Third-party platforms may change, restrict, suspend, or discontinue their APIs or services, and we do not control those third-party platforms.

Payment Terms & Subscriptions

General: Fees are due according to the applicable subscription, quotation, invoice, order form, or written agreement. Prices and billing currencies will be disclosed before payment.

Payment methods: Payments may be made using secure third-party payment processors, payment links, bank transfer, cheque, or other methods we make available. Card information may be collected and processed directly by the applicable payment processor rather than stored by DanZay AI.

Subscriptions: Where a Service is offered on a recurring subscription, the applicable billing cycle, price, included features, limits, and renewal terms will be presented in the relevant plan or purchase flow. You are responsible for applicable fees incurred before cancellation takes effect.

Taxes: Applicable taxes may be added where required by law and may be shown on the relevant quotation, checkout, or invoice.

Service Delivery & Availability

We use reasonable efforts to provide and maintain the Services. Professional-service delivery dates are estimates unless expressly agreed otherwise in writing.

Software Services may occasionally be unavailable because of maintenance, security updates, infrastructure incidents, third-party service failures, changes to external APIs, or circumstances outside our reasonable control. We do not guarantee uninterrupted or error-free operation.

Confidentiality

Where either party receives non-public confidential information from the other in connection with the Services, that information must be protected using reasonable safeguards and used only for the purpose for which it was provided, except where disclosure is required by law or otherwise authorized.

Privacy & Data Protection

We process personal data in accordance with applicable privacy and data-protection requirements, including the UAE Personal Data Protection Law and, where applicable, other relevant privacy laws.

Our Privacy Policy explains the categories of information we process, how information is used and shared, our Meta and WhatsApp Business integrations, retention, security, and available privacy and deletion rights. The Privacy Policy forms part of the information governing your use of the Services.

Acceptable Use

You may not use the Services to:

• violate applicable law, regulation, third-party rights, or platform policies;
• send unlawful, deceptive, fraudulent, abusive, or unauthorized communications;
• access accounts, systems, or data without authorization;
• upload malware or intentionally interfere with the security, availability, or operation of the Services;
• circumvent product, account, usage, security, or access restrictions; or
• use Meta or WhatsApp integrations in a manner that violates applicable Meta or WhatsApp terms or policies.

We may restrict or suspend access where reasonably necessary to address security risks, unlawful activity, material policy violations, or misuse of the Services.

Third-Party Services

The Services may depend on or link to third-party products and services, including Meta and WhatsApp, hosting providers, payment processors, analytics services, and other integrations. Those third parties operate under their own terms and privacy practices.

We are not responsible for changes, outages, restrictions, or discontinuation of third-party services that are outside our reasonable control.

Intellectual Property

Unless otherwise agreed in writing, DanZay AI and its licensors retain all rights in the Services, software, interfaces, branding, documentation, and other proprietary materials. These Terms do not transfer ownership of our intellectual property to you.

You retain rights in content and data you lawfully provide to the Services. You grant us the limited rights necessary to host, process, transmit, and otherwise use that content and data to provide, secure, maintain, and support the Services.

Refunds, Cancellations & Termination

Professional services: Cancellation and refund eligibility may depend on the applicable quotation, statement of work, invoice, project stage, and work already performed.

Software subscriptions: You may cancel a subscription according to the cancellation method made available for that Service. Unless otherwise stated in the applicable plan, order, or required by law, cancellation stops future renewal and does not automatically create a refund for fees already paid or a period already started.

We may suspend or terminate access for material breach of these Terms, unlawful use, security risk, non-payment, or material violation of applicable third-party platform requirements. Where reasonably appropriate, we may provide notice and an opportunity to remedy the issue.

Upon termination, amounts properly due for Services already provided remain payable.

Limitation of Liability

To the maximum extent permitted by applicable law, DanZay AI will not be liable for indirect, incidental, special, or consequential damages arising from use of the Services.

To the maximum extent permitted by applicable law and unless a separate written agreement states otherwise, our aggregate liability arising from the Services will not exceed the amount paid by the customer to us for the affected Service during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Sanctions, Export & Legal Compliance

You must use the Services in compliance with applicable trade, sanctions, export-control, and other legal requirements. We may decline or restrict transactions where required by applicable law or binding sanctions requirements.

Users are responsible for complying with laws applicable to their own business, customers, communications, and use of the Services.

Governing Law & Dispute Resolution

DanZay FZE is incorporated and domiciled in Sharjah, United Arab Emirates. Unless mandatory applicable law or a separate written agreement requires otherwise, these Terms are governed by the laws applicable in the United Arab Emirates and the Emirate of Sharjah.

The parties should first attempt in good faith to resolve disputes through direct negotiation. Any further dispute-resolution process will be subject to applicable law and any separately agreed contractual terms.

Changes to These Terms

We may update these Terms from time to time to reflect changes to our Services, legal requirements, security practices, or third-party integrations. Updated Terms will be posted on this page with the applicable effective date. Where required by law or appropriate for a material change, we may provide additional notice.
